Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Roost Inspect mobile application and related services (the "Service") operated by Roost Inspect ("we", "our", or "us"), based in Sydney, NSW, Australia.

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. User Accounts

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorised access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service for any illegal or unauthorised purpose
• Upload content that is defamatory, obscene, harmful, or infringes on the rights of others
• Attempt to gain unauthorised access to the Service, other user accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use automated scripts, bots, or other tools to access or interact with the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to conduct fraudulent inspections or create misleading records
• Share your account credentials with third parties

5. Inspection Data and Ownership

By using the Service, you grant us a limited, non-exclusive licence to process, store, and display your content solely for the purpose of providing and improving the Service. This licence terminates when you delete your account or remove your content.

When you participate in multi-party inspections, you acknowledge that your inspection data may be shared with and visible to other parties involved in the same inspection.

6. Credits and Subscriptions

• Credits: Certain features may require credits, which can be purchased through the app. Credits are non-refundable and non-transferable unless required by applicable law.
• Subscriptions: Subscription plans, if offered, will be managed through Google Play or the Apple App Store. Subscription terms, renewal, and cancellation are governed by the respective app store policies.
• Pricing: We reserve the right to modify pricing at any time. Changes will not affect active subscriptions until their renewal date.

All purchases are subject to the refund policies of the respective app store through which the purchase was made.

7. Intellectual Property

The Service, including its design, features, code, graphics, and branding, is owned by Roost Inspect and is protected by intellectual property laws. You may not:

• Copy, modify, or distribute any part of the Service without our prior written consent
• Use our trademarks, logos, or branding without authorisation
• Create derivative works based on the Service

All rights not expressly granted to you in these Terms are reserved by Roost Inspect.

8. Disclaimers

• Inspection reports generated through the Service are records of observations and do not constitute legally binding condition reports unless accepted as such by all relevant parties.
• Lease parsing is performed using artificial intelligence (OpenAI) and may contain errors or omissions. Always verify parsed information against the original document.
• The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Roost Inspect shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claims related to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.
• We are not liable for any loss or damage resulting from reliance on inspection reports, lease parsing results, or any other content generated through the Service.

Some jurisdictions do not allow the limitation of certain damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Roost Inspect, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Content you submit through the Service

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for reasons including but not limited to:

• Violation of these Terms
• Fraudulent or abusive behaviour
• Failure to pay for credits or subscriptions
• At our discretion for any reason

You may terminate your account at any time by following the instructions on the Account Deletion page. Upon termination, your right to use the Service ceases immediately.

Sections that by their nature should survive termination will remain in effect, including Sections 5, 7, 8, 9, 10, and 12.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

You agree to submit to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction over you by such courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Post the updated Terms within the app and on this page
• Update the "Effective Date" at the top of this page
• Provide reasonable notice through the app where appropriate

Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you should discontinue your use of the Service.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
